Monard Law is pleased to announce that yesterday one of its lawyers, Nele Somers, was awarded a doctorate in law from the University of Antwerp. In her doctorate, Nele studied the organisation of daily management in a company limited by shares (“naamloze vennootschap”). The doctoral jury expressed praise for Somers’s work, saying among other things that her work succeeded in taking a fresh approach to daily management and that she had done a service to the practice by producing a useful reference work. The work deals with issues such as the limits of the managing director’s powers and the possible consequences of competence-transcending business dealings. In addition, the possibility of contractualisation of the legal relationship between the managing director and the company is discussed, for example through a management agreement. The focus is also extended to include the managing director’s liability, and the advantages and disadvantages of establishing a separate body for daily management.
Elsbeth Loncke also completed her doctorate last year. She completed her doctoral studies at Hasselt University with a dissertation entitled ‘The Right of Access to the Council of State as cassation judge’.
